# Terms of Use

## Terms of Use

**Effective date: \[EFFECTIVE DATE]**

Please read these Terms of Use carefully before using the Service. By accessing or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.

### 1. Definitions

The words below have the meanings given here, whether used in the singular or the plural.

**Company** (also "FLASH", "we", "us", "our") means FLASH AI S.R.L., a company registered in Costa Rica, with its registered office at \[REGISTERED ADDRESS TO BE INSERTED BEFORE PUBLICATION], Costa Rica.

**Service** means the FLASH intelligence layer and everything we provide through it: the Terminal and Newsroom web applications, the JSON API (News Feed, Top News, Match, and NewsCover), the RSS feeds, Skills, any MCP server we make available, the documentation, and the websites through which these are offered.

**Content** means the news items and associated data we produce and deliver through the Service, including headlines, summaries, bodies, `whyItMatters` text, `impact`, `impactScore`, `sentiment`, `eventType`, `entities`, cluster data, and cover images.

**Cover** means a cover image produced by us and delivered through the Service or the NewsCover API.

**API Key** means the credential issued to you for authenticating calls to the API.

**You** means the individual using the Service, or the company or other legal entity on whose behalf that individual is acting.

**Source Article** means a third-party article or official publication that our systems read in the course of producing Content.

### 2. About the Service

FLASH reads what major outlets and primary institutional sources publish, converges every report of the same event into one event, and produces a single news item with analysis attached. That item is delivered through the surfaces listed in Section 1.

The Service is an information service. It is not a broker, exchange, investment adviser, or financial institution, and it does not execute transactions of any kind.

### 3. Eligibility

You must be at least 18 years old to use the Service. We do not knowingly provide the Service to anyone under 18. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

### 4. Accounts and API Keys

You obtain an API Key by signing in with Google. We receive your email address from that sign-in and nothing else. Our handling of that address is described in the Privacy Policy.

Your API Key identifies your account and authenticates your calls. You are responsible for keeping it confidential. You must not share it, publish it, embed it in client-side code that third parties can read, or allow others to call the API under your Key.

You are responsible for all activity that occurs under your API Key. If you believe your Key has been exposed, contact us and we will issue a replacement.

We may revoke or rotate an API Key where we reasonably believe it has been compromised or is being used in breach of these Terms.

### 5. Plans and Payment

The Service is offered on the plans published on our website. As of the effective date of these Terms:

Each plan carries the categories, access, rate limits, freshness, languages, and history described on our pricing page. Those descriptions form part of these Terms.

The RSS feeds are open without an API Key on every plan, including Free.

Paid plans are payable in $FL. We will designate the payment method at the time you subscribe. $FL is used under these Terms solely as a means of payment for the Service. Nothing in these Terms is an offer, solicitation, or recommendation to acquire, hold, or dispose of $FL or any other asset.

We may change our prices. If we do, we will give you notice in accordance with Section 15 before the change applies to you.

### 6. Permitted Use

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable right to:

* call the API and retrieve Content;
* display, render, and lay out Content within your own products and surfaces;
* store Content as reasonably necessary to operate your product, including caching;
* translate Content, provided the analysis values are not altered; and
* display Covers alongside Content in accordance with Section 7.

#### 6.1 Attribution

Every news item carries the outlet that first reported the story and a link to its article, in the `source` and `sourceUrl` fields. **Where you display a news item, you must display the outlet name and make the link to the original article available to your users.** This attribution is a condition of the rights granted in this Section.

Covers must be credited as **\[Powered by FLASH]** wherever they are displayed.

### 7. Covers

Covers are produced and licensed by us. They are licensed for **editorial use**, meaning the identification of the company, asset, person, or subject in news coverage.

Within that purpose you may publish, crop, resize, and hotlink Covers.

You may not:

* use Covers outside news coverage, including in advertising, promotion, merchandise, or product packaging;
* resell, sublicense, or re-license Covers;
* redistribute Covers as an image collection, dataset, or library; or
* remove or obscure the \[Powered by FLASH] credit.

### 8. Prohibited Use

You must not:

* resell, redistribute, or sublicense access to the API or the Service itself, as distinct from displaying Content within your own product;
* circumvent, disable, or attempt to exceed rate limits, quotas, or plan boundaries, including by operating multiple accounts for that purpose;
* scrape, crawl, or bulk-extract Content other than through the API and the RSS feeds as documented;
* use the Service to train, fine-tune, or evaluate a machine learning model intended to reproduce or substitute for the Service;
* present Content in a way that materially misstates the analysis, including altering `impact`, `sentiment`, `eventType`, or `impactScore` values while presenting them as ours;
* present Content in a way that suggests an outlet endorsed your product;
* use the Service in violation of applicable law, including sanctions and export control law; or
* interfere with the integrity, security, or performance of the Service.

### 9. Intellectual Property

#### 9.1 Our Content is an original work

Every FLASH news item is an original work. Our agents read what outlets and institutions publish, converge every report of the same event, and synthesize them into one complete story. What carries over is the facts, not the text. The headline, summary, and body are new writing, composed differently from any Source Article.

This is how journalism has always worked. When one outlet breaks a story, others report the same event in their own words and credit the source. We do the same, and every item credits the outlet that broke the story.

**We do not store Source Articles.** We do not reproduce, host, or redistribute the text of any Source Article.

Every translation is a rendition of our own text, never of a Source Article.

#### 9.2 What we own

As between you and us, we own all rights in the Content, the Covers, the Service, and the FLASH name and marks. Except for the rights expressly granted in Sections 6 and 7, no rights are transferred to you.

#### 9.3 What outlets own

The `sourceImageUrl` field, where present, points to a Source Article's own image, hotlinked from the outlet. Rights in that image remain with the outlet. It is provided for reference and is not covered by the licence in Section 7.

#### 9.4 Notices

If you believe Content infringes your rights, contact us at the address in Section 18 with enough detail to identify the item and the right concerned. We will review and respond.

### 10. AI-Generated Content

**Content is generated by artificial intelligence.** Our pipeline classifies, clusters, synthesizes, and analyses published reporting without a human writing each item. Published items are subject to human review, and we retain editorial responsibility for what we publish.

You should be aware of two things.

First, AI-generated analysis can be wrong. `impact`, `impactScore`, `sentiment`, `eventType`, and `entities` are judgments produced by a system, not verified facts. `whyItMatters` is inferred and may be absent even where the schema permits it. Treat all analysis values as inputs to your own judgment.

Second, **if you republish Content to the public, you may have your own obligations** in your jurisdiction regarding the disclosure of AI-generated material. In the European Union, Article 50 of the AI Act places obligations on those who deploy AI-generated text published to inform the public on matters of public interest. Whether and how those obligations apply to you depends on your role, your users, and your own editorial arrangements. We do not advise you on this, and you remain responsible for your own compliance.

### 11. Neutrality

Promotional and sponsored material is filtered out at classification and never reaches publication. We do not accept payment to include, exclude, rank, or shade any story.

`sentiment` is produced only for the crypto and economy categories. Political and geopolitical items carry no `sentiment` at all, because the machinery for producing it does not exist on that track. That is neutrality by design, not missing data. Do not infer a neutral reading from the absence of a value.

### 12. No Investment Advice

Content is information, not advice.

Nothing in the Service is investment advice, financial advice, trading advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any asset. We are not your adviser and no fiduciary relationship arises from your use of the Service.

Markets covered by the Service, including cryptocurrency markets, can be highly volatile. Outcomes depend on factors outside our knowledge or control, including your own strategy and risk tolerance. You are solely responsible for your decisions, and you should obtain independent professional advice before acting.

### 13. No Warranty

The Service and the Content are provided **"as is" and "as available"**, with all faults and without warranty of any kind.

To the maximum extent permitted by applicable law, we disclaim all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

* the Service will meet your requirements or achieve any particular result;
* the Service will be uninterrupted, timely, secure, or error-free;
* any Content is accurate, complete, current, or suitable for any purpose;
* defects will be corrected; or
* the Service or its servers are free of harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply to the greatest extent permitted.

### 14. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to the Service, whether in contract, tort, or otherwise, and whether or not we were advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars.

Some jurisdictions do not allow these limitations. Where that is the case, they apply to the greatest extent permitted.

### 15. Third-Party Links and Services

Content includes links to Source Articles on third-party websites. Those websites are not operated by us. We do not control and are not responsible for their content, availability, terms, or privacy practices. Following a link is at your own risk, and the terms of that website apply to your use of it.

### 16. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to do so by law, or if your use presents a risk to the Service or to others. Where circumstances allow, we will give notice first.

On termination, the rights granted to you in Sections 6 and 7 end. You must stop calling the API and stop displaying Covers. You may retain Content already stored in your systems only as required by law or by your own record-keeping obligations, subject to the attribution requirements in Section 6.1.

Sections 9, 12, 13, 14, 17, and 19 survive termination.

### 17. Governing Law and Disputes

These Terms and your use of the Service are governed by the laws of Costa Rica, without regard to its conflict of law rules.

If you have a concern or dispute, contact us first at the address in Section 18. We will try to resolve it informally. If we cannot, the courts of Costa Rica have exclusive jurisdiction.

If you are a consumer resident in the European Union or the United Kingdom, you retain the benefit of any mandatory provisions of the law of your country of residence, and nothing in this Section deprives you of the right to bring proceedings where that law allows.

### 18. Compliance and Restricted Parties

You represent that you are not located in, and are not a national or resident of, a country subject to comprehensive sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations, and that you are not listed on any applicable list of restricted or prohibited parties.

You must not use the Service in breach of applicable sanctions or export control law.

### 19. General

**Severability.** If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

**No waiver.** Our failure to enforce a provision is not a waiver of it.

**Assignment.** You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

**Entire agreement.** These Terms, together with the Privacy Policy and the Cookie Policy, are the entire agreement between you and us regarding the Service.

**Language.** These Terms are written in English. If we make a translation available and there is a conflict, the English text prevails.

### 20. Changes to These Terms

We may modify these Terms. If a change is material, we will make reasonable efforts to give at least 30 days' notice before it takes effect, by posting the revised Terms and, where we hold your email address, by email.

Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Service.
